ElevRShift Terms — Effective 29-04-2026

General Terms

These Terms of Service govern access to and use of ElevRShift coaching and advisory services. They define the relationship between ElevRShift and clients, set expectations for professional conduct, fees, confidentiality and dispute resolution, and are intended to support transparent, outcome-focused engagements with senior leaders.

Eligibility

Services are intended for adult executives, authorised representatives of organisations, and professionals capable of entering contractual arrangements under Swiss law. By engaging with ElevRShift, clients confirm they meet local legal capacity requirements and provide true information during onboarding.

Clients must be of legal age in their jurisdiction to enter into binding agreements. ElevRShift does not knowingly provide services to individuals lacking legal capacity to contract.

Clients agree to use services lawfully and not for activities that would facilitate illegal conduct, fraud, or the circumvention of regulatory frameworks applicable to their business.

Some ElevRShift services may be restricted in specific jurisdictions due to regulatory or licensing considerations. Clients are responsible for ensuring compliance with local regulations before engaging in services.

Client Accounts

Client accounts established for service access and administration require accurate contact information and organisational details. Accounts are used for scheduling, resource distribution, invoicing and secure client communications.

Clients must maintain current and accurate account information. ElevRShift is not liable for failures in service delivery resulting from inaccurate client information provided during onboarding or thereafter.

Clients are responsible for safeguarding their access credentials and for the security of devices used to access ElevRShift portals. Any suspected compromise should be reported immediately to our contact channels.

Client accounts and associated subscriptions are personal to the contracting party and may not be transferred or assigned without written consent from ElevRShift.

If a client account is suspected to be compromised, notify ElevRShift immediately. We will take measured steps to secure the account and assist with recovery, while documenting actions taken.

ElevRShift may suspend access to services if account activity indicates a risk to security, billing non-payment, or breach of these terms. Suspension will be communicated with rationale and steps for resolution.

Coaching and Advisory Services

ElevRShift provides growth-oriented economic coaching, strategic advisory, and supporting resources to executives. Services are delivered through scheduled sessions, diagnostics, workshops and tailored deliverables reflecting the client's organisational context and objectives.

Service scope and formats may evolve to reflect best practice and regulatory developments. Substantive changes affecting active engagements will be proposed and implemented by mutual agreement documented in engagement addenda.

Service availability is subject to scheduling, consultant capacity and operational considerations. ElevRShift strives for dependable delivery but operational interruptions may occur; clients are notified when material changes affect delivery timelines.

Client Conduct

Clients and their representatives are expected to engage professionally, provide necessary information, and respect the confidentiality and intellectual property considerations of the coaching relationship.

  • Provide truthful and complete information relevant to coaching objectives and organisational context.
  • Respect scheduled commitments and provide reasonable notice for cancellations or rescheduling.
  • Maintain confidentiality of proprietary materials supplied by ElevRShift and fellow participants when applicable.
  • Refrain from use of ElevRShift resources for illegal activities or actions that could harm third parties.
  • Engage constructively in feedback processes to enhance coaching outcomes and service quality.
  • Abide by applicable client organisation policies when coaching takes place in corporate settings.
  • Refrain from recording sessions without prior written consent from all participating parties.

Client Materials and Inputs

Clients may provide documents, analytics, or other materials to inform coaching work. Such client content enables contextualised, practical advice and diagnostics.

Clients retain ownership of materials they provide to ElevRShift. ElevRShift will use client materials exclusively to perform contracted services unless otherwise agreed in writing.

By submitting materials, clients grant ElevRShift a limited, non-exclusive licence to use, reproduce and adapt those materials solely for delivery of the contracted services and internal quality assurance.

Clients are responsible for ensuring they have the rights to share submitted materials and that such materials do not infringe third-party rights or contain unlawful content.

ElevRShift may remove or refuse to use client materials that are unlawful, harmful, or inconsistent with the delivery of professional services. Clients will be informed of such actions and reasons.

Intellectual Property

All intellectual property created by ElevRShift in the course of delivering services, including frameworks, templates and proprietary methodologies, remains the property of ElevRShift unless explicitly assigned in writing.

  • Clients may use delivered materials for internal business purposes as specified in their engagement but must not resell or distribute ElevRShift proprietary content.
  • Any requested transfer or licensing of ElevRShift intellectual property requires a separate agreement and appropriate compensation.
  • Attribution to ElevRShift is required when proprietary frameworks are used publicly, unless otherwise agreed.

Fees and Paid Services

Paid services include one-on-one coaching, bespoke advisory projects, workshops and subscription-based executive resources. Engagements are governed by statement of work documents and applicable fee schedules.

Fees are set according to scope, consultant experience and estimated time commitment. Pricing is communicated in proposals and may be denominated in Swiss francs (CHF). Clients are responsible for applicable taxes and any external costs incurred with prior approval.

Invoices are issued per the agreed schedule in the engagement letter. Payment terms typically require settlement within the timeframe specified on the invoice. Accepted payment methods are detailed in contractual documentation.

Subscription services, if offered, include periodic access to curated resources, cohort sessions or assessments. Subscription terms and renewal processes are specified in the subscription agreement.

Refunds are considered on a case-by-case basis in accordance with the terms of the engagement and applicable consumer protection laws; adjustments may be made for partially delivered services.

Cancellation terms are agreed in the engagement letter. Reasonable notice periods are required for scheduling and resource allocation; fees for work already performed or confirmed bookings may apply on cancellation.

Clients are responsible for any sales, VAT or other taxes applicable to services provided to their jurisdiction unless otherwise stated.

ElevRShift may update pricing for future engagements with advance notice. Existing contracts remain subject to their agreed rates unless renegotiated.

Failure to pay may result in suspension of services, and ElevRShift reserves the right to pursue outstanding fees through standard collections procedures subject to applicable law.

Professional Statements

Advice and frameworks provided are intended to inform executive decision-making based on available information and professional judgment. Outcomes depend on implementation and factors beyond ElevRShift's control; clients should exercise independent judgment and consult advisors as needed.

Limitation of Liability

To the maximum extent permitted by law, ElevRShift’s liability for direct damages arising from service delivery is limited to fees paid for the specific engagement in the prior 12 months. ElevRShift is not liable for indirect, consequential or punitive damages.

Third-Party Services

Where services require integration with or use of third-party tools, ElevRShift acts as coordinator but is not responsible for third-party performance. Clients must accept third-party terms where applicable.

Termination

Either party may terminate an engagement in accordance with the termination provisions in the engagement agreement. Immediate termination may occur for material breach, insolvency or serious misconduct.

On termination, outstanding fees and expenses become due. ElevRShift will provide a reasonable handover of materials necessary for the client to continue work, subject to settlement of outstanding obligations.

Privacy and Data Protection

Client data is processed in accordance with our privacy policy. ElevRShift applies industry-standard safeguards and adheres to Swiss data protection principles for the handling of personal and corporate information.

Communications

Official communications will be sent to the contact information on file. Clients should ensure details are current. ElevRShift may use secure portals, encrypted email or other controlled channels for sensitive information.

Changes to Terms

ElevRShift may update these Terms to reflect legal or operational changes. Clients engaged under existing agreements will be informed of material updates and any changes affecting active deliverables will be addressed through mutual agreement.

Governing Law

These Terms are governed by and interpreted in accordance with the laws of Switzerland. Parties submit to the non-exclusive jurisdiction of competent Swiss courts for disputes not resolved by the agreed procedures.

Dispute Resolution

Prior to formal proceedings, parties will seek to resolve disputes through good-faith discussions and, if mutually agreed, mediation. If unresolved, disputes proceed under the governing law provisions.
